APPOINTMENT OF THE SUB-ADVISER. The Adviser hereby appoints the Sub-Adviser to act as an investment adviser for each Portfolio, subject to the supervision and oversight of the Adviser and the Trustees of the Trust, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust or the Adviser in any way or otherwise be deemed an agent of the Trust or the Adviser except as expressly authorized in this Agreement or another writing by the Trust, the Adviser and the Sub-Adviser.

APPOINTMENT OF THE SUB-ADVISER. The Adviser Advisor hereby appoints the Sub-Adviser to act as an investment adviser for each Portfoliothe Fund, subject to the supervision and oversight of the Adviser Advisor and the Trustees of the TrustFund, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Fund or the Adviser Advisor in any way or otherwise be deemed an agent of the Trust Fund or the Adviser Advisor except as expressly authorized in this Agreement or another writing by the TrustFund, the Adviser Advisor and the Sub-Adviser.

APPOINTMENT OF THE SUB-ADVISER. The Adviser hereby appoints the Sub-Adviser to act as an investment adviser for each PortfolioFund, subject to the supervision and oversight of the Adviser Trust’s Board of Trustees (the “Board”), for the period and the Trustees of the Trust, and in accordance with on the terms and conditions of set forth in this Agreement. The Sub-Adviser will shall be an independent contractor and will have no authority to act for or represent the Trust or the Adviser in any way or otherwise be deemed an agent of the Trust or the Adviser except as expressly authorized in this Agreement or another writing by the Trust, the Adviser and the Sub-Adviser.

The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust or the Investment Adviser in any way or otherwise be deemed an agent of the Trust or the Investment Adviser except as expressly authorized in this Agreement or another writing by the Trust, the Investment Adviser and the Sub-Adviser.

The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Corporation or the Investment Adviser in any way or otherwise be deemed an agent of the Trust Corporation or the Investment Adviser except as expressly authorized in this Agreement or another writing by the TrustCorporation, the Investment Adviser and the Sub-Adviser.

The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Fund or the Adviser in any way or otherwise be deemed an agent of the Trust Fund or the Adviser except as expressly authorized in this Agreement or another writing by the TrustFund, the Adviser and the Sub-Adviser.

The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Corporation or the Investment Adviser in any way or otherwise be deemed an agent of the Trust Corporation or the Investment Adviser except as expressly authorized in this Agreement or another writing by the TrustCorporation, the Investment Adviser and the Sub-Adviser.

APPOINTMENT OF THE SUB-ADVISER. The Adviser hereby appoints the Sub-Adviser to act as an investment sub-adviser for each Portfolioto the Fund(s), subject to the supervision and oversight of the Adviser and the Trustees of the TrustTrust Board, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Adviser or the Adviser Trust in any way or otherwise be deemed an agent of the Trust Adviser or the Adviser Trust, except as expressly authorized in this Agreement or another writing by the Trust, Adviser or the Adviser Trust and the Sub-Adviser.

The Adviser hereby appoints the Sub-Adviser to act as an investment adviser for each Portfoliothe Fund, subject to the supervision and oversight of the Adviser and the Trustees of the TrustBoard, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Company or the Adviser in any way or otherwise be deemed an agent of the Trust Company or the Adviser except as expressly authorized in this Agreement or another writing by the TrustCompany, the Adviser and the Sub-Adviser.

The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Portfolio or the Investment Adviser in any way or otherwise be deemed an agent of the Trust Portfolio or the Investment Adviser except as expressly authorized in this Agreement or another writing by the TrustPortfolio, the Investment Adviser and the Sub-Adviser.

The Investment Adviser hereby appoints the Sub-Adviser to act as an investment adviser for each PortfolioFund, subject to the supervision and oversight of the Investment Adviser and the Trustees of the Trust, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust or the Investment Adviser in any way or otherwise be deemed an agent of the Trust or the Adviser Investment adviser except as expressly authorized in this Agreement or another writing by the Trust, the Investment Adviser and the Sub-Adviser.

The Adviser hereby appoints the Sub-Adviser to act as an investment adviser for each Portfoliothe Master Fund, subject to the supervision and oversight of the Adviser and the Trustees Managers of the TrustMaster Fund, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Master Fund or the Adviser in any way or otherwise be deemed an agent of the Trust Master Fund or the Adviser except as expressly authorized in this Agreement or another writing by the TrustMaster Fund, the Adviser and the Sub-Adviser.

The Adviser hereby appoints the Sub-Adviser to act as an investment adviser for each Portfoliothe Master Fund, subject to the supervision and oversight of the Adviser and the Trustees of the TrustBoard, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Trust Master Fund or the Adviser in any way or otherwise be deemed an agent of the Trust Master Fund or the Adviser except as expressly authorized in this Agreement or another writing by the TrustMaster Fund, the Adviser and the Sub-Adviser.
