Common use of Appointment of and Acceptance by Escrow Agent Clause in Contracts

Appointment of and Acceptance by Escrow Agent. a. The Investor and the Company hereby appoint the Escrow Agent to serve as the holder of the Escrow Shares, which shall be issued upon the conversion of the Convertible Securities in accordance with their respective terms. The Escrow Agent hereby accepts such appointment and, upon receipt via D.W.A.C or the certificates representing the Escrow Shares in accordance with Section 3 below, agrees to hold and disburse the Escrow Shares in accordance with this Agreement.
