Common use of Apparent Authority Clause in Contracts

Apparent Authority. Company stipulates that any action that IC takes hereunder is pursuant to apparent authority of Processor and Company, its agents, assigns, officers, directors, employees. In the event that Processor’s and/or Company's agent, assigns, officers, directors, or employees does not have the authority to the debit or the credit process by IC, Processor and Company hereby hold IC harmless from such actions and agrees to indemnify IC for such action pursuant to this Agreement. Processor and Company stipulate and agree that Company and not IC is liable for such action.

Apparent Authority. In the event that Processor’s and/or Company's agentagents, assigns, officers, directors, or employees does do not have the authority to the debit request a transfer of funds, or the credit process any other action, by IC, Processor and Company hereby hold IC harmless from such actions and/or inactions and agrees agree to indemnify IC for such action pursuant to this Agreementany losses, damages or claims. Processor and Company stipulate and agree that Company and Processor, and not IC is IC, are entirely liable for under such actioncircumstances.
