Common use of Any Other Termination Clause in Contracts

Any Other Termination. If Executive is terminated during the term of this Agreement following a Change of Control for any reason other than those set forth in Section 4(a) or 4(b), Executive shall be entitled to receive his accrued unpaid Base Salary through the Termination Date, any prior year bonus earned but not paid and the full value of all vacation accrued but not used as of the Termination Date, determined as if the rules and practices applicable under the Company's vacation policy in place immediately prior to the Change of Control had remained in effect through the Termination Date, payable in a single cash payment within ten days after the Termination Date, and any other benefits under other plans and programs of the Company in accordance with their terms, and the Company and its affiliates will have no further obligations under this Agreement with respect to Executive following the Termination Date.
