Common use of Annual Independent Public Accountants' Servicing Statement; Financial Statements Clause in Contracts

Annual Independent Public Accountants' Servicing Statement; Financial Statements. On or before the later of (i) the 80th day after the end of the Master Servicer's fiscal year, commencing with its 2004 fiscal year or (ii) within 30 days of the issuance of the annual audited financial statements beginning with the audit for the period ending in 2004, the Master Servicer at its expense shall cause a nationally recognized firm of independent public accountants (who may also render other services to the Master Servicer, the Seller or any affiliate thereof) that is a member of the American Institute of Certified Public Accountants to furnish a report to the Trustee, Depositor and the Seller in compliance with the Uniform Single Attestation Program for Mortgage Bankers. Copies of such report shall be provided by the Trustee to any Certificateholder upon request at the Master Servicer's expense, provided such report is delivered by the Master Servicer to the Trustee. Upon written request, the Master Servicer shall provide to the Certificateholders its publicly available annual financial statements (or, for so long as Countrywide Home Loans Servicing LP is the Master Servicer hereunder, the Master Servicer's parent company's publicly available annual financial statements), if any, promptly after they become available.

Copies of such report shall be provided by the Trustee to any Certificateholder upon request at the Master Servicer's expense, provided such report is delivered by the Master Servicer to the Trustee. On If the Master Servicer has, during the course of any fiscal year, directly serviced any of the Mortgage Loans, then on or before the later of (i) the 80th day after the end of the Master Servicer's ’s fiscal year, commencing with its 2004 2005 fiscal year or (ii) within 30 days of the issuance of the annual audited financial statements beginning with the audit for the period ending in 20042005, the Master Servicer at its expense shall cause a nationally recognized firm of independent public accountants (who may also render other services to the Master Servicer, the Seller or any affiliate thereof) that is a member of the American Institute of Certified Public Accountants to furnish a report to the Indenture Trustee, the Depositor and the Seller in compliance with the Uniform Single Attestation Program for Mortgage Bankers. Copies of such report shall be provided by the Indenture Trustee to any Certificateholder Noteholder upon request at the Master Servicer's ’s expense, provided such report is delivered by the Master Servicer to the Indenture Trustee. Upon written request, the Master Servicer shall provide to the Certificateholders Noteholders its publicly available annual financial statements (or, for so long as Countrywide Home Loans Servicing LP is the Master Servicer hereunder, or the Master Servicer's ’s parent company's ’s publicly available annual financial statements, as applicable), if any, promptly after they become available.

Upon written request, the Master Servicer shall provide to the Certificateholders its publicly available annual financial statements (or, for so long as Countrywide Home Loans Servicing LP is the Master Servicer hereunder, the Master Servicer's parent company's publicly available annual financial statements), if any, promptly after they become available.

Copies of such report shall be provided by the Indenture Trustee to any Certificateholder Noteholder upon request at the Master Servicer's ’s expense, provided such report is delivered by the Master Servicer to the Indenture Trustee. Upon written request, the Master Servicer shall provide to the Certificateholders Noteholders its publicly available annual financial statements (or, for so long as Countrywide Home Loans Servicing LP is the Master Servicer hereunder, or the Master Servicer's ’s parent company's ’s publicly available annual financial statements, as applicable), if any, promptly after they become available.
