Amendments to Existing LLC Agreement. From and after the date of this Agreement and prior to the Effective Time, the Company shall not amend the terms of the Existing LLC Agreement without the prior written consent of Parent; provided, that any amendment that is required to comply with the rules or regulations of, or is otherwise requested by, GNMA, FHA or any state regulator, shall not require any such consent of Parent so long as the Company provides Parent with prompt notice of such amendment and a reasonably-detailed description of the reason for such amendment.
