Common use of Amendments to Awards Clause in Contracts

Amendments to Awards. Without limiting any other express authority of the Committee under, but subject to the express limits of, this Plan, the Committee by agreement or resolution may waive conditions of or limitations on Awards that the Committee in the prior exercise of its discretion has imposed, without the consent of the Participant, and may make any changes to the terms and conditions of Awards which are necessary to comply with Section 409A of the Code and any other changes to the terms and conditions of Awards that do not affect in any manner materially adverse to the Participant his or her rights and benefits under an Award.

Without limiting any other express authority of the Committee under, under but subject to the express limits of, of this PlanPlan (including Section 6.2(c)), the Committee Board or the Committee, by agreement or resolution resolution, may waive conditions of or limitations on Awards to Eligible Persons that the Committee in the prior exercise of its discretion has imposed, without the consent of the a Participant, and may make any changes to the terms and conditions of Awards which are necessary to comply with Section 409A of the Code and any other changes to the terms and conditions of Awards that do not affect affect, in any manner materially adverse to the Participant Employee Participant, his or her rights and benefits under an Award.
