Amendments; No Waiver. This Agreement may not be amended, nor shall any waiver be effective, except by an instrument in writing signed by both Parties (or, in the case of a waiver, the Party against whom the waiver is sought to be effective). No course of dealing, or failure or delay by either Party in exercising any right provided for herein will be deemed a waiver of such right or any subsequent right hereunder.
