No Waiver; Amendments. No failure on the part of Bank to exercise, no delay in exercising and no course of dealing with respect to, any right hereunder shall operate as a waiver thereof; nor shall any single or partial exercise of any right hereunder preclude any other or further exercise thereof or the exercise of any other right. The remedies herein provided are cumulative and not exclusive of any remedies provided by law. This Guaranty may not be amended or modified except by written agreement between Guarantor and Bank, and no consent or waiver hereunder shall be valid unless in writing and signed by Bank.

No failure to exercise nor any delay in exercise of any such right or remedy hereunder shall preclude any other or future exercise or partial exercise of any other right or remedy. The rights and remedies hereunder provided are cumulative and may be exercised singly or concurrently, and are not exclusive of any rights and remedies provided by law. None of the terms or provisions of this Letter Agreement may be waived, altered, modified or amended except by an instrument in writing, duly executed by the party or parties sought to be bound thereby.

Any waiver by either party to this Agreement of any provision of this Agreement shall not be construed as a waiver of any other provision of this Agreement, nor shall such waiver be construed as a waiver of such provision respecting any future event or circumstance. The terms of this letter and your obligations hereunder may only be amended or modified by written agreement between us.

No waiver, amendment, or other variation of the terms, conditions, or provisions of this Security Agreement whatsoever shall be valid unless in writing entered into by Grantors and Administrative Agent and then only to the extent in such writing specifically set forth. All rights and remedies contained in this Security Agreement or afforded by applicable Laws shall be cumulative and all shall be available to Administrative Agent until the Secured Obligations have been paid in full.

No delay on the part of Pledgee in exercising any of its options, powers or rights, and no partial or single exercise thereof, shall constitute a waiver thereof or of any other option, power or right. None of the terms and conditions of this Agreement may be amended, modified or waived orally but only in a writing signed by Pledgee and Pledgor.
