Amendment to Section 5.05. Section 5.05 of the Credit Agreement is hereby amended and restated to read in its entirety as follows:

Amendment to Section 5.05. Section 5.05 is hereby amended by (i) adding the following words at the end of clause (b): “, in each case, except where the failure to do so, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect”; and (ii) deleting the last sentence thereto.
Amendment to Section 5.05. Section 5.05 of the Credit Agreement is hereby amended by inserting “(except as otherwise disclosed in the SEC Filings)” after the words “Material Adverse Effect” in such Section.
Amendment to Section 5.05. Section 5.05 of the Credit Agreement is hereby amended as of the Second Amendment Effective Date by inserting the word “Parts” immediately before the word “Collateral” where such word appears in such section.
