Common use of Amendment of Related Agreements Clause in Contracts

Amendment of Related Agreements. (1) The Series 2023-1 Co-Owner shall not enter into or consent to, as applicable, any amendment, modification, termination, replacement or waiver of, or postponement of compliance with, any provision of the Administration Agreement or the Declaration of Trust which would or could reasonably be expected to have the effect of increasing the Funding Costs or the Additional Funding Expenses, or both, except with the prior written consent of the Seller; provided that if such amendment, modification, termination or replacement has the effect of adjusting or raising fees to reflect their current market rates, the consent of the Seller shall not be unreasonably withheld.
