Common use of Amendment, Modification and Waivers; Further Assurances Clause in Contracts

Amendment, Modification and Waivers; Further Assurances. (i) This Agreement may be amended with the consent of the Trust and the Corporation and the Holders and the Trust and the Corporation may take any action herein prohibited, or omit to perform any act herein required to be performed by it, only if the Trust and the Corporation shall have obtained the written consent of the Holders to such amendment, action or omission to act.

(i) This Agreement may be amended with the consent of the Trust Company and the Corporation Holders, and the Holders and the Trust and the Corporation Company may take any action herein prohibited, or omit to perform any act herein required to be performed by it, only if the Trust and the Corporation Company shall have obtained the written consent of Holders owning Registrable Securities possessing a Majority of the Holders Registrable Securities then outstanding to such amendment, action or omission to act.
