Alternative Location. Prior to the Commercial Operation Date, if the Customer chooses an alternative location per Section 3.1.1, Customer will have the option to elect an alternative location if Environmental Attributes and Environmental Financial Incentives financially equivalent to or better than those associated with the original location are available for the alternative location, and if the expected System kWh output and construction cost at the alternative location are equivalent to or superior than those associated with the originally proposed location. Such alternative location is subject to Provider approval, not to be unreasonably withheld. If an alternative location cannot be established, Provider will have the right to terminate per Section 3.2.

Alternative Location. Prior to the Commercial Operation Date, if the Customer’s interest in the Site is a leasehold interest and the Customer is unable to obtain the landlord’s consent in accordance with the License or Customer chooses an alternative location per Section 3.1.1, Customer will have the option to elect an alternative location if Environmental Attributes and Environmental Financial Incentives financially equivalent to or better than those associated with the original location are available for the alternative location, and if the expected System kWh output and construction cost at the alternative location are equivalent to or superior than those associated with the originally proposed location. Such alternative location is subject to Provider approval, not to be unreasonably withheld. If an alternative location cannot be established, Provider will have the right to terminate per Section 3.2.
Alternative Location. If, within ninety (90) days after permanent shutdown of the System, UNIVERSITY and LICENSEE agree on an alternative location from which LICENSEE can provide Electricity to UNIVERSITY, then UNIVERSITY shall pay the costs associated with relocation of the System. This alternative location, in the reasonable opinion of LICENSEE, shall have the potential to provide substantially similar overall system output as the original Facility, measured in total kilowatt-hours over a 12- month period, unless UNIVERSITY and LICENSEE mutually agree that this output level is not required. If UNIVERSITY and LICENSEE mutually agree upon an alternative location that is substantially inferior to the Facility for purposes of insolation or Utility rates (assuming different portions of the Facility have different Utility rates), then the pricing formula identified in Exhibits 2 and 3 will be equitably adjusted to compensate for the alternative location such that LICENSEE receives payments comparable to those which it would have received from the System at the Facility. LICENSEE shall be reimbursed for the period of System shutdown prior to relocation, if any, under the payment mechanisms specified in Section 11.1 above for Temporary Shutdown of the System. If, within ninety (90) days after permanent shutdown of the System, UNIVERSITY and LICENSEE have not agreed upon an alternative location for the System, LICENSEE may terminate this Agreement and receive a Termination Fee (as defined in Section described in section 10.5.2, above, and in Exhibit 2, Attachment 16).
Alternative Location. SBH may explore alternative locations for the ESC not at the location detailed in Section 3.1 that are within the downtown area of the City; provided, however, that SBH shall take into consideration operational and financial implications on the Schedule and the Outside Completion Date, and obtain the prior written approval of the City, as determined in its sole discretion, for any such alternative ESC location.

  • Equipment Location This Contract is for service of the Equipment at the location in the attached EQUIPMENT SCHEDULE hereof. If any unit of Equipment is moved (which movement will in all instances be at Customer's risk and expense), Customer will so notify Contractor.
