Allocation of Straddle Period Taxes. For purposes of this Article XIII, in order to apportion appropriately any Taxes relating to a Straddle Period, the parties shall, to the extent permitted or required under any applicable Law, treat the Closing Date as the last day of the taxable year or period of the Company or relevant Subsidiary for all Tax purposes.
