Alliance Information Sample Clauses
Alliance Information. Medical Facility recognizes and acknowledges that, by virtue of entering into the Agreement and accepting Services from Alliance hereunder, Medical Facility may have access to certain information of Alliance that is confidential and constitutes valuable, special and unique property of Alliance. Medical Facility agrees that Medical Facility shall not, at any time either during or subsequent to the term of the Agreement, disclose to others, use, copy or permit to be copied, without Alliance's express prior written consent except pursuant to Medical Facility's duties hereunder, any confidential or proprietary information of Alliance, including but not limited to, information which concerns Alliance's patents, processes, protocols or costs developed by Alliance and which is not otherwise available to the public.
Alliance Information. All information generated in the performance of the business operations pertaining to the Comprehensive Business Alliance shall be Alliance Information, regardless of the timing or format in which the information was generated. Provided, however, that information that is commonly known or became known not as a result of disclosure by one party not pursuant to the agreement of other parties shall not be included in Alliance Information. To avoid doubt, both Parties shall have obligations as the Receiving Party regarding Alliance Information.
Alliance Information. Alliance has heretofore delivered to MDV copies of its annual report on Form 10-K for the fiscal year ended June 30, 1996. The information contained in the annual report on Form 10-K, does not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements contained therein, in the circumstances in which they were made, not misleading. The financial statements included in the annual report on Form 10-K were reported on by independent public accountants and such financial statements have been prepared in accordance with generally accepted accounting principles applied on a basis consistent with prior similar periods and fairly present, in all material respects, the financial condition of Alliance at the date thereof and the results of operations and cash flows of Alliance for the periods covered thereby.
