Common use of AIRCRAFT DOCUMENTATION Clause in Contracts

AIRCRAFT DOCUMENTATION. (a) Concurrent with the Delivery of the Aircraft to Lessee, Lessor shall deliver to Lessee one (1) copy of all aircraft documentation required by the FAR’s for the operation of the Aircraft (including current revisions thereto) defined in Attachment A to this Exhibit C (the “Aircraft Documentation”): (i) At a minimum, Lessor shall provide Lessee with all Category I Aircraft Documentation (as defined in Attachment A to this Exhibit C); and (ii) Lessor shall use commercially reasonable efforts to provide Lessee with all Category II Aircraft Documentation (as defined in Attachment A to this Exhibit C); (b) All Aircraft Documentation provided to Lessee at the time of Delivery shall be listed and described by title or description and included as a supplement to the Aircraft Documentation; (c) Lessor shall permit Lessee or its authorized representative to examine the Aircraft Documentation at any reasonable time prior to delivery upon giving reasonable notice to Lessor; (d) Lessor shall provide, as part of the Aircraft Documentation, the original and/or true copies (such copies certified as acceptable per handbook order 8300.10, “True Copies”) of certification tags and release notes for all life limited and rotable parts. The certification tags and release notes for rotable parts shall provide traceability of the last overhaul and/or repair shop visit to the approved repair facility that conducted the overhaul and/or repair. In the case of life limited parts, Lessor shall provide all original and/or True Copies of certification tags and release notes necessary to provide traceability of the Part to the original manufacturer; and (e) Lessor shall: (i) certify in writing that there are no leased or rented parts installed on the Aircraft while in Lessor’s possession; and (ii) certify in writing that there are no foreign manufactured parts installed on the Aircraft while in Lessor’s possession that have been locally manufactured without the Airworthiness Authority’s approval and/or that do not conform to an internationally recognized airworthiness standard and are approved for installation on the Aircraft; and (iii) Lessor will provide Lessee with certificates provided by the previous operator for items (i) through (iii) above.

Accordingly, Lessor shall provide Lessee with all Category I the information described in the Aircraft Documentation (as defined shall be provided to Sublessor in Attachment A the form and manner under which Sublessee maintains such information, and shall include data pertinent to this Exhibit C); and (ii) Lessor shall use commercially reasonable efforts to provide Lessee with all Category II Aircraft Documentation (as defined in Attachment A to this Exhibit C); (b) the Aircraft. All Aircraft Documentation provided to Lessee Sublessor at the time of Delivery the Aircraft return shall be listed and described by Sublessee’s title or description with cross-reference to the titles or descriptions provided in Appendix I, and included as a supplement an attachment to the Aircraft Documentation; (c) Lessor . All Aircraft Documentation provided to Sublessor shall permit Lessee or be in good condition, readable and capable of being reproduced using standard reproduction processes, complete, up to date and accurate as to content. Any Aircraft Documentation, to the extent required by the Governmental Authorities, not returned in its “original” form shall be stamped “Certified True Copy” and both signed and dated by the Sublessee’s authorized representative personnel at the time of its creation. Sublessee shall provide to examine Sublessor, upon reasonable request, advance copies of any of the Aircraft Documentation at any reasonable time prior as Sublessor may desire or require in order to delivery plan or accomplish recertification, modification, sale, lease or other disposition or utilization of the Aircraft upon giving reasonable notice to Lessor; (d) Lessor receipt of such Aircraft by Sublessor. Sublessor shall provide, as part of the Aircraft Documentation, the original and/or true copies (such copies certified as acceptable per handbook order 8300.10, “True Copies”) of certification tags and release notes for all life limited and rotable partsParts installed after delivery. The certification tags and release notes for rotable parts shall provide traceability of the last overhaul and/or repair shop visit to the approved repair facility that conducted the overhaul and/or repair. In Sublessee shall, for the case period that the Aircraft was operated by it: i. certify, in writing as identified in Appendix I, that the Aircraft has not been involved in any incidents or accidents. If the Aircraft has been in involved in any incidents or accidents the Sublessee shall certify in a letter, full disclosure of life all such events involving the Aircraft detailing all relevant details, including but not limited partsto, Lessor shall provide all original and/or True Copies of certification tags and release notes necessary to provide traceability of the Part to the original manufacturerany subsequent repairs; and (e) Lessor shall: (i) certify ii. certify, in writing writing, that there are no leased or rented parts installed on the Aircraft while in Lessor’s possessionAircraft; and (ii) certify iii. certify, in writing writing, that there are Sublessee has no foreign manufactured knowledge of parts installed on the Aircraft while in Lessor’s possession that have been locally manufactured without the Airworthiness Authority’s appropriate Governmental Authority approval and/or and /or that do not conform to an internationally recognized airworthiness standard and are approved for installation on in the Aircraft; and (iii) Lessor will provide Lessee with certificates provided by the previous operator for items (i) through (iii) above.

All Aircraft Documentation provided to Lessee Lessor at the time of Delivery the Engine return shall be listed and described by Lessee’s title or description with cross-reference to the titles or descriptions provided in Appendix I, and included as a supplement an attachment to the Aircraft Documentation; (c) . AIRCRAFT DOCUMENTATION. (a) Concurrent Lessee shall redeliver to Lessor on the Expiry Date all Aircraft Documents delivered with the Aircraft on the Delivery of Date in the form and condition in which such Aircraft Documents were delivered by Lessor to Lessee, Lessor shall deliver and all other Aircraft Documents acquired or prepared by Lessee during the Term, including time logs showing Flight Hours and Cycles for the Airframe, Engines, Landing Gear and APU on any given date, documents, manuals (revised up to Lessee one (1) copy of all aircraft documentation required and including the most current revisions issued by the FARapplicable Manufacturer), data, overhaul records, time controlled part traceability to overhaul, LLP traceability to overhaul and “zero time since new” for time controlled parts that have been replaced by Lessee, log books, serviceable parts tags for all Parts that have been replaced by Lessee, teardown reports or alternative compliance as described in Section 8.13 for time controlled parts that have been replaced by Lessee, Aviation Authority forms (as applicable), modification records, inspection reports (including NDT documentation such as x-▇▇▇, ▇▇▇▇ current, etcetera) and all other documentation pertaining to the Aircraft, Engines and Parts. All Aircraft Documentation shall be redelivered in the same format as delivered, or if generated by the Lessee during the Term, shall be in a format which can be readily utilized by future lessees. All discrepancies found in the Aircraft Documents shall be corrected, and any missing Aircraft Documents shall be reconstructed by Lessee at Lessee’s for sole cost and expense prior to the operation return of the Aircraft. All Aircraft (including current revisions thereto) defined Documents shall be in Attachment A to this Exhibit C (the “Aircraft Documentation”): (i) At a minimum, Lessor shall provide Lessee with all Category I Aircraft Documentation (as defined in Attachment A to this Exhibit C); and (ii) Lessor shall use commercially reasonable efforts to provide Lessee with all Category II Aircraft Documentation (as defined in Attachment A to this Exhibit C);English language. (b) All Aircraft Documentation provided Upon redelivery and upon request by Lessor, Lessee shall (a) provide to Lessee at the time of Delivery shall be listed and described by title or description and included as a supplement Lessor all documents necessary to export the Aircraft Documentation; from the State of Registration (cincluding a valid and subsisting export license for the Aircraft), and (b) provide any documents requested by Lessor shall permit Lessee or its authorized representative to examine in connection with, and otherwise cooperate with, the Aircraft Documentation at any reasonable time prior to delivery upon giving reasonable notice to Lessor; (d) Lessor shall provide, as part deregistration of the Aircraft Documentation, the original and/or true copies (such copies certified as acceptable per handbook order 8300.10, “True Copies”) of certification tags and release notes for all life limited and rotable parts. The certification tags and release notes for rotable parts shall provide traceability of the last overhaul and/or repair shop visit to the approved repair facility that conducted the overhaul and/or repair. In the case of life limited parts, Lessor shall provide all original and/or True Copies of certification tags and release notes necessary to provide traceability of the Part to the original manufacturer; and (e) Lessor shall: (i) certify in writing that there are no leased or rented parts installed on the Aircraft while in Lessor’s possession; and (ii) certify in writing that there are no foreign manufactured parts installed on the Aircraft while in Lessor’s possession that have been locally manufactured without the Airworthiness Authority’s approval and/or that do not conform to an internationally recognized airworthiness standard and are approved for installation on the Aircraft; and (iii) Lessor will provide Lessee with certificates provided by the previous operator for items (i) through (iii) aboveAviation Authority, including causing the Aviation Authority to issue an Export Certificate of Airworthiness to a country specified by Lessor.
