Agreement to Remain in Effect. To the extent not changed or modified by this Third Amendment, the terms and provisions of the Annexation Agreement, as amended, shall remain in full force and effect.

To Except to the extent not changed or modified amended by this Third Amendment, the terms and provisions all of the Annexation Agreementterms, as amendedprovisions, conditions, agreements, covenants, representations, 2 warranties and powers contained in the Agreement shall be and remain in full force and effecteffect and the same are hereby ratified and confirmed. In the event of any inconsistency or conflict between this Third Amendment and the Agreement, the terms, provisions and conditions of this Third Amendment shall govern and control.
