Agility. Agility is engaged in the logistical management of mobile assets for the healthcare provider industry, providing comprehensive services on a contract basis, including mobile asset tracking systems, business process optimization, operational support and equipment financing support services. Agility has developed a proprietary mobile equipment management and tracking system, AgileTracSM, including business process optimization analysis and related services for moveable medical equipment. Agility’s majority shareholder, TrenStar, Inc. (“TrenStar”) is a holding company directing and managing business activities undertaken through operating subsidiaries located primarily in the United States of America, the United Kingdom and Australia including i) ownership and the licensing of the use of containers and other high value portable assets primarily for the beverage, food, chemical and healthcare industrial sectors and ii) providing, implementing and managing information technologies for data capture applications including real-time asset positioning and content information and monitoring and controlling the movement of information, goods and returnable packaging, together offering financing, management services, information technology and technology integration for the returnable packaging assets of the supply chain.
Agility. The Company and SWAT agree that all amounts outstanding under the Loan Agreement dated November 18, 2005, as amended, by and between Agility Capital, LLC (“Agility”) and the Company (the “Agility Loan Agreement”) shall be repaid at Closing from SWAT’s cash on hand; provided, however, that SWAT shall not be required to pay any amount under this Section 5.15 in excess of $500,000 of principal plus any accrued but unpaid non-default interest thereon, and any remaining amount shall be paid by the Company prior to the Effective Time (in order to ensure, among other things, that the provisions of Section 7 of the Agility Loan Agreement are inapplicable to the closing of the Merger). In addition, prior to the Effective Time, the Company and SWAT will use their commercially reasonable efforts to cause the April 20, 2007, October 19, 2007 and April 25, 2008 warrants issued to Agility to be amended to the Company’s and SWAT’s reasonable satisfaction.

  • Licensor any Person from whom an Obligor obtains the right to use any Intellectual Property. Lien: any lien, security interest, pledge, hypothecation, assignment, easement, right-of-way, or other title exception or encumbrance. Lien Waiver: an agreement, in form and substance reasonably satisfactory to Agent, by which (a) for any material Collateral located on leased premises, the lessor waives or subordinates any Lien it may have on the Collateral, and agrees to permit Agent to enter upon the premises and remove the Collateral or to use the premises to store or dispose of the Collateral; (b) for any Collateral held by a warehouseman, processor, shipper, customs broker or freight forwarder, such Person waives or subordinates any Lien it may have on such Collateral, agrees to hold any Documents in its possession relating to such Collateral as agent for Agent, and agrees to deliver such Collateral to Agent upon request; (c) for any Collateral held by a repairman, mechanic or bailee, such Person acknowledges Agent's Lien, waives or subordinates any Lien it may have on such Collateral, and agrees to deliver such Collateral to Agent upon request; and (d) for any Collateral subject to a Licensor's Intellectual Property rights, the Licensor grants to Agent the right, vis-à-vis such Licensor, to enforce Agent's Liens with respect to such Collateral, including the right to dispose of it with the benefit of the Intellectual Property, whether or not a default exists under any applicable License.   • Product and Service Offerings The Products and services available under this Contract are set forth herein and specified in Appendices C and D which may be amended during the contract term to incorporate new Product or service offerings, price revisions or deleted items.
