Common use of Agent for Process Clause in Contracts

Agent for Process. The US Paying Agent shall at all times maintain an agent for service of process of any other documents in proceedings in England or any proceedings in connection with this Deed. Such agent shall be the Principal Paying Agent having its office at 5 Carmelite Street, London EC4Y 0PA (and by execution of this ▇▇▇▇, ▇▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇ ▇ereby accepts such appointment). Any writ judgment or other notice of legal process shall be sufficiently served on the Second Issuer if delivered to such agent at its address for the time being. The US Paying Agent undertakes not to revoke the authority of the above agent and if, for any reason, the Security Trustee requests the US Paying Agent to do so, it shall promptly appoint another such agent with an address in England and advise the Note Trustee, the Second Issuer Swap Providers, the Corporate Services Provider and the Security Trustee thereof. If following such a request the US Paying Agent fails to appoint another agent the Security Trustee shall be entitled to appoint one on their behalf. The US Paying Agent agrees that failure by a process agent to notify the US Paying Agent of the process will not invalidate the proceedings concerned.
