Affiliate Assignment. Subject to the last sentence of Section 20.7 above, Schering may assign any of its rights or obligations under this Agreement in any country to any of its Affiliates; provided, however, that such assignment shall not relieve Schering of its responsibilities for performance of all of its obligations under this Agreement. Schering shall promptly inform DUSA of such assignment and the terms thereof. Any assignment under this Section must obligate the assignee to the terms and conditions of this Agreement.

Affiliate Assignment. Any assignment under this Section must obligate the assignee shall expressly agree to be bound by the terms and conditions of this Agreement.
