Common use of Administration by Agents Clause in Contracts

Administration by Agents. (a) Each of the Lenders and each Issuing Lender hereby irrevocably appoints the Administrative Agent as its agent hereunder and under the other Loan Documents and authorizes the Administrative Agent to take such actions on its behalf and to exercise such powers as are delegated to the Administrative Agent by the terms hereof or thereof, together with such actions and powers as are reasonably incidental thereto. Each of the Lenders and each Issuing Lender hereby irrevocably appoints the Collateral Agent to act on its behalf as the collateral agent hereunder and under the Collateral Documents and authorizes the Collateral Agent to take such actions on its behalf and to exercise such powers as are delegated to the Collateral Agent by the terms hereof or thereof, together with such actions and powers as are reasonably incidental thereto.

Each of the Lenders and each Issuing Lender hereby irrevocably appoints the Collateral Agent U.S. Bank National Association to act on its behalf as the collateral agent Collateral Trustee hereunder and under the Collateral Documents and authorizes the Collateral Agent Trustee to take such actions on its behalf and to exercise such powers as are delegated to the Collateral Agent Trustee by the terms hereof or thereof, together with such actions and powers as are reasonably incidental thereto.
