Additional requirement for sales and purchases. If the Issuer and the Collateral Manager have received an opinion of counsel of national reputation experienced in such matters (together with an officer's certificate of the Issuer or the Collateral Manager to the Trustee (on which the Trustee may conclusively rely) that the opinion specified in this paragraph has been received by the Issuer and the Collateral Manager) that the Issuer's ownership of any specific Collateral Obligation or Eligible Investment would in and of itself cause the Issuer to be unable to comply with the loan securitization exemption from the definition of "covered fund" under the Vxxxxxx Rule, then the Collateral Manager shall be required to use its commercially reasonable efforts to effect the sale of such Collateral Obligation or Eligible Investment, and will not purchase or otherwise receive any additional Collateral Obligation or Eligible Investment of the type identified in such opinion.
