Additional NDA Clause Samples
The 'Additional NDA' clause establishes that, beyond the main agreement, the parties may be required to enter into a separate non-disclosure agreement (NDA) to further protect confidential information. This clause typically applies when sensitive data or proprietary information will be exchanged that warrants heightened confidentiality measures, such as during due diligence or technical collaboration. Its core function is to ensure that all confidential information remains protected under stricter or more specific terms, thereby reducing the risk of unauthorized disclosure and clarifying the parties' obligations regarding secrecy.
