Accounts The proceeds of and each and every right of the Buyer to the payment of money, whether such right to payment now exists or hereafter arises, whether such right to payment arises out of a sale, lease or other disposition of goods or other Asset by the Buyer, out of a rendering of services by the Buyer, out of a loan by the Buyer, out of the overpayment of taxes or other liabilities of the Buyer, or otherwise arises under any contract or agreement, whether such right to payment is or is not already earned by performance, and howsoever such right to payment may be evidenced, together with all other rights and interests (including all liens and security interests) which the Buyer may at any time have by law or agreement against any account the Buyer or other obligor obligated to make any such payment or against any of the property of such account the Buyer or other obligor; all including, but not limited to, all present and future debt instruments, chattel papers and accounts of the Buyer which arise from the Assets purchased by the Buyer from the Seller;
Accounts The. Distributor shall provide to Synon each year a copy of its audited annual accounts within one month of the audit report being signed by its auditors. If the Distributor does not have audited accounts it shall in each 12 month period from the date of this Agreement supply to Synon a copy of the management accounts it does have for the previous 12 month period, and the Distributor shall ensure that such accounts shall represent a true and fair view of the Distributor's business.
Accounts The. (a) audited consolidated accounts of Diamond PLC for its financial year; and (b) financial statements contained in the Form 10-Q submitted by Diamond PLC to the Securities and Exchange Commission Washington D.C. for the relevant Quarter, most recently delivered to the Agent under this Agreement: (i) have been prepared in accordance with accounting principles and practices generally accepted in the United Kingdom or (as the case may be) the United States (and the rules and regulations of the Securities and Exchange Commission) consistently applied; (ii) fairly represent the consolidated financial condition of Diamond PLC and, as applicable, the Borrower Group as at the date to which they were drawn up; and (iii) for the Monthly Accounts dated 30th November, 1996 only, there has, as at the date of this Agreement, been no material adverse change in the consolidated financial condition of the Borrower Group since the date to which those Monthly Accounts were drawn up.
Accounts The consolidated audited accounts of the Guarantor for its financial year just ended, certified, by a director or the chief financial officer of ▇▇▇▇▇ Comex Seaway M.S. Limited as agent for the Guarantor, as fair and accurate.
