Product Licenses. The Borrower and each of the Subsidiaries shall (i) maintain each Permit, including each Regulatory Authorization, from, or file any notice or registration in, each jurisdiction in which the Borrower or any of the Subsidiaries are required to obtain any Permit or Regulatory Authorization or to file any notice or registration, in order to sell or distribute the Products and (ii) promptly provide evidence of same to the Lender.
Product Licenses. Each Loan Party shall (i) maintain each Permit, including each Regulatory Authorization, from, or file any notice or registration in, each jurisdiction in which such Loan Party is required to obtain any Permit or Regulatory Authorization or to file any notice or registration, in order to sell or distribute the Products and (ii) promptly provide evidence of same to the Lender.
Product Licenses. Pfenex Improvements, Sole Inventions owned by Pfenex, and Pfenex’s interest in Joint Inventions shall be included in Pfenex IP and automatically licensed to Jazz under Section 2.1. Jazz Improvements shall be included in Jazz Extension IP and automatically licensed to Pfenex under Section 2.2.
Product Licenses. Subject to the terms and conditions of this Agreement, Isis hereby grants to Lilly (i) an exclusive license, including the right to sublicense, under the Isis Collaboration Blocking Patents, and (ii) a non-exclusive license, including the right to sublicense, under the Isis Collaboration Technology other than the Isis Collaboration Blocking Patents, in each case to make, use, import, sell and offer to sell Reagent Non-ASO Products, Validation Non-ASO Products, and Drug Discovery Non-ASO Products in the Territory. Such licenses shall be royalty-bearing as expressly provided by this Agreement.
Product Licenses. Subject to the terms and conditions of this Agreement, Lilly hereby grants to Isis an exclusive, royalty-bearing license, including the right to sublicense, under Lilly Collaboration Technology to develop, make, have made, use, import, offer for sale and sell Isis Validation ASO Products and Isis Drug Discovery ASO Products in the Territory. Isis shall provide Lilly with annual written reports that include a description of the research, development and commercialization activities by Isis on any Isis Validation ASO Products or Isis Drug Discovery ASO Products licensed by Isis under this Section 8.4.2.
Product Licenses. The term of the license we grant to you for the Product shall be for one (1) year, commencing on the day we receive your payment of the non-refundable license fee (the “Effective Date”). When the license for the Product expires, you must (i) stop using the Product and remove all copies of it from all computers and Servers on which it has been installed, and (ii) destroy all copies of the Product in your possession.
Product Licenses. The Borrower and each of the Subsidiaries shall maintain each Key Permit from, or file any notice or registration in, each jurisdiction in which the Borrower or any of the Subsidiaries are required to obtain any Permit or Regulatory Authorization or to file any notice or registration, in order to design, manufacture, store, label, sell, promote, import or distribute the Products, except, in the case of any Permits and Regulatory Authorizations other than those which are necessary to sell the KXL System in the United States, where the failure to do so would not reasonably be expected to have a Material Adverse Effect.
Product Licenses. Tanabe shall be responsible, subject to appropriate Lynx assistance as to Manufacturing Information, for obtaining all Regulatory Approvals and maintaining in its own name all relevant product licenses for the Product for import and sale in the Territory.
Product Licenses. 2.2.1 GNE shall, in accordance with applicable regulations, have sole authority for applying for any Product licenses with the regulatory agencies per section 5.1 of License and Option Agreement. GNE shall inform the appropriate regulatory authorities of any change to the approved licenses for the Product through supplements or amendments and informing SurModics of the same.
Product Licenses. In connection with the Program, each Party may (in its sole discretion) license its Products to the other Party.
