Access to Licensee’s Equipment Clause Samples
The "Access to Licensee’s Equipment" clause grants the licensor or its representatives the right to physically or remotely access equipment owned or operated by the licensee. This access is typically limited to specific purposes, such as maintenance, inspection, software updates, or ensuring compliance with the terms of the agreement. By establishing clear terms for when and how such access can occur, the clause helps prevent disputes and ensures that the licensor can fulfill its obligations or protect its interests without unduly interfering with the licensee’s operations.
Access to Licensee’s Equipment. 6.2.1. From time to time, access to the Licensee’s Equipment may facilitate scheduled and non-scheduled maintenance and repair work associated with the County Network, including without limitation the Licensed Fibers and related Interconnection Points. The Licensee will cooperate with the County to allow access by the County, its employees, and its contractors to the Licensee’s Equipment for maintenance and repairs to the County Network.
6.2.2. So long as an emergency situation does not exist, the County shall provide a written request to the Licensee at least seventy-two (72) hours in advance of any required access to the Licensee’s Equipment. If an emergency situation exists, the County shall provide notice by any reasonable means of the need for access to the person identified pursuant to Schedule 5, but the County may proceed to address the emergency without express authorization from the Licensee, if a timely response is not received by the County.
