Common use of ACCEPTANCE OF GOODS Clause in Contracts

ACCEPTANCE OF GOODS. Buyer shall inspect the Goods immediately upon arrival and shall within five (5) days of their arrival give written notice to Seller of any claim that the Goods do not conform with the terms of this Contract. If Buyer shall fail to give such notice, the Goods shall be deemed to conform and Buyer shall be bound to accept and pay for the Goods in accordance with the terms of this Contract. Buyer expressly waives any rights it may have to revoke acceptance after such five (5) day period.

The Buyer shall have the right to inspect the Goods immediately upon arrival goods on arrival, and shall within five (5) business days of their arrival after delivery, the Buyer must give written notice to the Seller of any claim that for damages on account of condition, quality, or grade of the Goods do not conform goods, and the Buyer must specify the basis of the claim of the Buyer in detail. The failure of the Buyer to comply with these conditions will constitute irrevocable acceptance of the terms of this Contract. If Buyer shall fail to give such notice, goods by the Goods shall be deemed to conform and Buyer shall be bound to accept and pay for the Goods in accordance with the terms of this Contract.
