Common use of Absence of Violation Clause in Contracts

Absence of Violation. Neither the execution or delivery of this Agreement by the Investor nor the consummation of the transaction contemplated hereby by the Investor constitutes a violation or default under or conflicts with, or will result in the creation of any encumbrance on any of the assets owned by the Investor under any contract, commitment, lease, instrument or agreement to which the Investor is a party or by which the Investor is bound.

Absence of Violation. Neither the execution execution, delivery or delivery performance of this Agreement by the Investor nor the consummation of the transaction contemplated hereby by the Investor of the transactions contemplated hereby constitutes or will constitute a violation or default under or conflicts with or will conflict with, or will result in the creation of any encumbrance on any of the assets owned by the Investor under under, any term or provision of the organizational documents of the Investor, if the Investor is an Entity, or any material contract, commitment, lease, instrument instrument, or agreement to which the Investor is a party or by which the Investor is bound.
