Common use of Absence of Violation Clause in Contracts

Absence of Violation. Neither the execution or delivery of this Agreement by the Company nor the consummation of the transaction contemplated hereby by the Company constitutes a violation or default under or conflicts with any material contract, commitment, lease, instrument or agreement to which the Company is a party or by which the Company is bound or will result in the creation of any encumbrance on any of the assets owned by the Company under any term or provision of the Articles of Incorporation or Bylaws of the Company.

Absence of Violation. Neither the execution or delivery of this Agreement by the Company Corporation nor the consummation of the transaction transactions contemplated hereby by the Company Corporation constitutes a violation or default under or conflicts with any material contractwith, commitment, lease, instrument or agreement to which the Company is a party or by which the Company is bound or will result in the creation of any encumbrance on any of the assets owned by the Company under Corporation under, any term or provision of the Articles of Incorporation or Bylaws of the CompanyCorporation, or any material contract, commitment, lease, instrument, or agreement to which the Corporation is a party or by which the Corporation is bound.

Neither the execution or and delivery of this Agreement by the Company nor the consummation of the transaction transactions contemplated hereby by will constitute a violation of, or default under, or conflict with, or require any consent under any term or provision of the certificate of incorporation or by-laws of the Company constitutes a violation or default under or conflicts with any material contract, commitment, leaseindenture, instrument lease or other agreement to which the Company is a party or by which the Company is bound it or will result in the creation of any encumbrance on any of the its assets owned by the Company under any term or provision of the Articles of Incorporation or Bylaws of the Companyis bound.
