Absence of Injunction. No injunction or other Governmental Order shall have been issued by any Governmental Authority or court of competent jurisdiction and be in effect that prohibits or enjoins the consummation of the transactions contemplated by this Agreement.
Absence of Injunction. No order, stay, judgment or decree shall have been issued by any court and be in effect that prohibits, delays or enjoins in any material respect the consummation of the transactions contemplated by this Agreement or the Ancillary Agreements.

Absence of Injunction. No order, stay, injunction or decree of any court of competent jurisdiction shall have been issued that prevents or materially delays the consummation of the Note Transfers and no proceedings shall be threatened to such effect.
Absence of Injunction. No preliminary or permanent injunction or other order of any court restraining or prohibiting consummation of transactions contemplated hereby shall be in effect.
Absence of Injunction. There shall be pending no temporary or permanent injunction or order from any court or government body or authority prohibiting, restraining or making unlawful the consummation of the transactions contemplated by this Agreement or materially limiting the ability of ConAgra to operate the Business.
Absence of Injunction. No order, stay, injunction or decree of any court of competent jurisdiction shall have been issued that prevents or materially delays the consummation of the Merger with such Partnership and no proceedings shall be threatened to such effect.
