4Other Documents. The parties agree to execute and deliver on or before the Closing all other documents that are reasonably necessary or desirable in order to consummate the transactions contemplated hereby and to carry out the intent of this Agreement.
4Other Documents. Each of the parties will furnish to the other party such certificates of such party’s members, shareholder, officers, directors, employees, Associates or Affiliates, or such other documents, as may be reasonably necessary to evidence fulfillment of the conditions set forth in this Article VI as the other party may reasonably request.
4Other Documents. This section makes the original Request for Proposal (RFP) and the selected ESP's proposal part of the contract. It also acknowledges the completion of ESP's Investment Grade Audit Report and its approval and acceptance by Entity. It is recommended that the original Investment Grade Audit Report in its entirety be attached and/or referenced as an Exhibit to this contract. It is important to note the last sentence of this provision makes it clear that if there is any future discrepancy between the Investment Grade Audit Report and any technical schedule(s), the terms of this contract shall apply.
4Other Documents. The occurrence of any default as specified in any of the other Loan Documents and such default shall not have been remedied (i) within the grace period, if any, provided in such Loan Document or (ii) if no grace period is provided in such Loan Document and such default does not relate to the payment of money, within thirty (30) days after written notice thereof to the Borrower from the Bank or such longer time, not to exceed ninety (90) days, as is necessary if the Borrower is diligently pursuing a cure and the default is reasonably capable of being cured within such extended period.
