2Borrowing Resolutions. A copy of the resolutions of the members of the Borrower certified by the Borrower's duly elected or appointed Manager, authorizing the execution of this Agreement and the other Loan Documents and authorizing the Manager of the Borrower to execute and deliver this Agreement and the other Loan Documents.
