1Authorization, etc Clause Samples

The 'Authorization, etc' clause establishes the authority of a party to enter into and perform the obligations set out in the agreement. It typically requires each party to confirm that it has obtained all necessary approvals, consents, or corporate authorizations needed to execute the contract and fulfill its terms. This ensures that the agreement is legally binding and enforceable, reducing the risk of later disputes over a party’s capacity or authority to contract.
