Amendment to Section 15. 1(e). APP and the Company hereby agree to amend Section 15.1(e) to the Agreement in its entirety, as follows:
Amendment to Section 15. (a) Section 1.5(a) of the Original Agreement shall be amended by replacing the word “MLP” with the word “Parent”.
Amendment to Section 15. Section 15 of the Rights Agreement is hereby amended by adding the following sentence at the end thereof: “Nothing in this Agreement shall be construed to give any holder of Rights or any other Person any legal or equitable right, remedy or claim under this Agreement in connection with any transactions contemplated by the Merger Agreement.”
Amendment to Section 15. Section 15 of the Partnership Agreement shall be amended to add the following language at the end of the Section: “On or before December 1 of each calendar year starting in the year 2007, as payment of reasonable and customary fees for the service of their respective Representatives in their role of providing governance and management of the Partnership, the Partnership shall pay to each of (a) the Unico Holding II Partner and (b) the Blackstone Holding II Partners (collectively for all of the Blackstone Holding II Partners, not for each Blackstone Holding II Partner), the sum of $125,000.”
Amendment to Section 15. The following is hereby added to Section 15 as clause “j”:

Amendment to Section 15. The Sales Agent Agreement is amended to add a new subsection (d) to Section 15 thereof as follows:
Amendment to Section 15. Section 15 of the Contract, Contribution Policy, is hereby amended and restated to read in its entirety as follows: Contractor shall provide a voluntary opportunity for each eligible participant to contribute to the cost of services while protecting the individual's privacy. Contractor shall safeguard and account for such contributions and use such contributions to expand services.
