Brokers or Finders; Other Offers. The Company has not incurred, and will not incur, directly or indirectly, as a result of any action taken by the Company, any liability for brokerage or finders' fees or agents' commissions or any similar charges in connection with this Agreement.

Brokers or Finders; Other Offers. MDEX has not incurred and will not incur, directly or indirectly, as a result of any action taken by MDEX, any liability for brokerage or finders’ fees or agents’ commissions in connection with this Agreement.

Except as may be set forth on Section 5.14 of the HUWX Disclosure Letter HUWX has not incurred and will not incur, directly or indirectly, as a result of any action taken by HUWX, any liability for brokerage or finders’ fees or agents’ commissions in connection with this Agreement.

To KETOSPORTS's Knowledge, KETOSPORTS has not incurred and will not incur, directly or indirectly, as a result of any action taken by KETOSPORTS, any liability for brokerage or finders’ fees or agents’ commissions or any similar charges in connection with this Agreement.

Additional Lender has not incurred, and will not incur, directly or indirectly, as a result of any action taken by Additional Lender, any liability for brokerage or finders' fees or agents' commissions or any similar charges in connection with this Agreement, except with respect to certain Additional Lenders, the Borrower will issue a Warrant to Duff, Ackerman, Goodxxxx & Xssociates, L.P. to purchase 1,599 shares of Borrower's Series E Preferred Stock on the same terms and conditions as set forth in the Agreement and as provided for in Section 7.11 below and such Additional Lenders will pay an amount equal to two percent of the principal amount set forth opposite their name to such firm.
