Notices. Notwithstanding Condition 17 (Notices), while all the Notes are represented by the Permanent Global Note (or, as the case may be, by the Permanent Global Note and/or the Temporary Global Note) and the Permanent Global Note is (or, as the case may be, the Permanent Global Note and/or the Temporary Global Note are) held on behalf of Euroclear or Clearstream, Luxembourg or an alternative clearing system, notices to Noteholders may be given by delivery of the relevant notice to Euroclear and Clearstream, Luxembourg or such alternative and, in any case, such notices shall be deemed to have been given to the Noteholders in accordance with Condition 17 (Notices) on the date of delivery to Euroclear and Clearstream, Luxembourg except that, for so long as such Notes are admitted to trading on the Luxembourg Stock Exchange and it is a requirement of applicable law or regulations, such notices shall be published on the website of the Luxembourg Stock Exchange (▇▇▇.▇▇▇▇▇▇.▇▇). The Issuer expects the gross proceeds of the Offering will be between €100,000,000 and €150,000,000. The estimated total expenses of the Offering will be between €2,000,000 and €2,500,000 (depending on the final size of the Offering), including the Placement Agent’s commission and estimated expenses in respect of the Offering. The Issuer intends to use the net proceeds from the Offering for general corporate purposes, including potential acquisitions (see “Information about the Group - Strategy”), and towards refinancing existing indebtedness.
Notices. All notices and communications related to this Agreement shall be made by registered or certified letter, return receipt requested, telecopier or electronic transmission confirmed in writing by registered mail and shall be addressed as follows (or to other address as may hereafter be designed by written notice):
Notices. All notices and other correspondence related to this Agreement shall be in writing and shall be effective when delivered by: (i) certified mail with return receipt, or (ii) hand delivery with signature or delivery receipt provided by a third party courier service (such as FedEx, UPS, DHL etc.), to the designated representative of the party as indicated below. A Party may change its designated representative for notice purposes at any time by written notice to the other Party:

  • Notices to the holders of Securities which are listed on a stock exchange shall be given in such manner as the rules of such exchange or the relevant authority may require (in the case of the Luxembourg Stock Exchange by publication on ▇▇▇.▇▇▇▇▇▇.▇▇).

  • Notice of any such consolidation will be given to the Noteholders in accordance with Condition 13 (Notices).

  • Notices to be given by a Securityholder shall (in the case of a Security not held in or on behalf of a Clearing System) be in writing and given by being lodged with a Certificate Agent.


More Definitions of Notices

Notices. Licensor may provide any notice to Licensee under this Agreement by sending an email message to the email address then associated with Licensee’s account. Notices Licensor provides by email will be effective when Licensor sends the email. It is Licensee’s responsibility to keep Licensee’s email address current. Licensee will be deemed to have received any email sent to the email address then associated with Licensee’s account when Licensor sends the email, whether or not Licensee actually receives the email. The Issuer intends to use the net proceeds from the Offering to support its external growth strategy. The quick implementation of the M&A activity should allow the Issuer to further increase the Group’s geographical diversification, strengthening its product offering among the fastest growth categories in the food industry. The increase of the Group’s size in terms of volume produced and sold, together with a better market share among the key products and the key European markets should also allow the Issuer to further improve its profitability and the cash flow generation, benefiting from additional economies of scale and a better product and geographic mix.

Castelnuovo (TN) di proprietà della Fondazione De Bellat a partire dall’annata agraria 2017/2018 fino all’annata agraria 2030/2031, in allineamento con la scadenza del contratto di affitto racc. 88/2012 di data 21.6.2012; - in particolare FEM utilizzerà i terreni al fine di condurre prove sperimentali e/o dimostrative che risultino di interesse per lo sviluppo dell’economia agricola del Trentino ed in particolare della Valsugana; - con la Fondazione De Bellat è stato stabilito un canone annuale delle porzioni a vigna pari a Euro 1.500,00 a ettaro e per la porzione a prato pari a Euro 308,55 a ettaro, per complessivi Euro 3.166,84 annuali; - è stato concordato che per le tre annate agrarie 2017/18, 2018/19 e 2019/20 il canone annuale relativo alle porzioni a vigna verrà sospeso per la realizzazione del nuovo vigneto; - visto lo schema di contratto di affitto con allegato l’elenco analitico delle porzioni fondiarie concesse in affitto, parte integrante e sostanziale del presente provvedimento; - vista la procura del responsabile dell’Azienda agricola, ▇▇▇▇. ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, conferita dal Presidente autenticata in data 9.9.2011, rep. 36253 atto n. 12912 che autorizza la stipula di contratti di locazione di beni immobili fino a Euro 250.000; - visto il combinato disposto tra l’art. 8, comma 1 dello Statuto FEM e l’art. 2, c. 2 del Regolamento di organizzazione e funzionamento (ROF), che stabiliscono la competenza del Consiglio di amministrazione a deliberare sugli atti di straordinaria amministrazione e così qualificandosi un contratto di affitto ultranovennale.
