Common use of Limitations Clause in Contracts

Limitations. These disclaimers and limitations of remedies apply to all warranties offered to the Buyer and to each and every order. The warranties set forth herein are exclusive and supersede any other legal warranties, explicit or implicit, with the exception of security warranties, including, but not limited to implied warranties of merchantability and suitability for a particular purpose. Unless expressly declared in writing on a document duly authorized by ZCS, the latter is not subject to any type of obligation or liability except for those indicated above. Notwithstanding any contrary provision contained herein, any kind of liability is excluded, for ZCS or for any of its suppliers, based on contract, fault (including negligence or liability in the strict sense) or other reason for loss of time, loss of profits or special, indirect, accidental or consequential damages of any kind. The Buyer's remedies are exclusive and the overall responsibility of ZCS and its suppliers of any level in relation to this contract or to actions related to this, such as the use of any product covered or supplied under the contract, based on the contract , on fault (including negligence or liability in the strict sense) or other reason, cannot exceed the price of the product, component or service to which this responsibility refers.
