Common use of CANTIDADES Clause in Contracts

CANTIDADES. El Vendedor entregará la cantidad de Bienes y / o Servicios como se describe en la Orden de Compra. Si el Vendedor entrega más o menos cantidad de Bienes y / o Servicios solicitados, el Comprador puede rechazar todo o the Goods upon Vestas request within a reasonable timeframe. If Seller fails to deliver the Goods in full on the Delivery Date, Buyer may terminate this Agreement immediately by providing written notice to Seller and Seller shall indemnify Buyer against any losses, claims, damages, and reasonable costs and expenses directly attributable to Seller’s failure to deliver the Goods on the Delivery Date. Buyer has the right to return and/or storage any Goods delivered prior to the Delivery Date at Seller’s expense and Seller shall redeliver and/or bear the cost of the redelivery of the Goods on the Delivery Date. (b) Seller shall deliver all Goods to the site specified in the Purchase Order (the “Delivery Point”) during Buyer’s normal business hours or as otherwise in written instructed by Xxxxx. Seller shall pack all goods for shipment according to Xxxxx’x instructions or, if there are no instructions, in a manner sufficient to ensure that the Goods are delivered in undamaged condition. If applicable, any return of packaging material shall be coordinated and borne Seller at its own risk of loss, expense and responsibility. (c) Seller shall provide the Services to Buyer as described in the Purchase Order and/or as otherwise in written instructed by Buyer; and in accordance with the terms and conditions set forth in these GTCs. (d) Seller acknowledges that time is of the essence with respect to Seller’s obligations hereunder and the timely delivery of the Goods and/or Services, including all performance dates, timetables, project milestones and other requirements in this Agreement. (e) Seller accepts that Vestas can postpone the Delivery Date of the Goods for a period of up to six (6) weeks without any costs or compensation to be paid by Vestas, provided that such postponement is advised prior to the time of Seller´s shipment of the Goods. Seller shall diligently store the postponed Goods at own cost and risk. If Vestas postpones the delivery for a longer period than six (6) weeks, Vestas shall pay to Seller reasonable documented storage cost in excess of the initial six weeks. 4. Quantity. Seller shall delivery the quantity of Goods and/or Services as described in the Purchase Order. If Seller delivers more or less quantity of Goods and/or Services ordered, Buyer may reject all or any excess or diminish of Goods and/or
