You and Your Client(s) may not resell the Services or any portion thereof.
If You are an MSP, You further acknowledge, agree, and warrant that: (i) You have sufficient technical infrastructure, knowledge, and expertise to perform Your duties for Your Clients; (ii) You will provide all sales, problem resolution, and support services to Your Clients; (iii) You will be responsible for billing, invoicing, and collection for Your Clients; and (iv) You will operate at Your own expense and risk under Your own name as an MSP.
Citybond acknowledges that all interest and investment returns on monies held by You are for Your benefit and consents that any rights over monies held in an account where You are also holding money as agent of the Client are subordinated to those of Your Clients where properly due.
However, You agree that We may contact Your Clients if it is reasonable to do so in order to act in the best interests of Your Client or other parties to the Insurance Contract and We have used Our best endeavours to obtain Your prior approval but have not been successful in doing so, other than where You have declined to give approval.
You agree that You are solely responsible for determining the nature, potential value and suitability for Your Clients of any particular security, transaction or investment strategy.
We reserve the right to charge You interest on any premiums due from Your Clients that have not been received by Us 7 (seven) days after Termination at the annualised rate of 2% above the base rate from time to time of Bank of Scotland PLC.
We may use this information solely to improve Our products or to provide customized services or technologies to Our customers and will not disclose this information in a form that personally identifies You, Your Users or Your Clients.
Unless you provide Your consent, We will not contact Your Clients without Your prior approval during the period of this Agreement and for three years following termination.
