• The NEL Payment Shares will be issued to the YDY Shareholders on a pro rata basis based on the number of YDY Shares owned by each YDY Shareholder immediately before Closing.

• The parties acknowledge and agree that the fair market value of the NEL Payment Shares issued to the YDY Shareholders in exchange for the YDY Shares will be equal to the fair market value of the YDY Shares surrendered in exchange therefor, and such NEL Payment Shares represent the sole consideration received by such YDY Shareholder in exchange for the YDY Shares.

• In the event that the transactions contemplated under this Agreement have not closed on or before the Drop Dead Date, any one or more of NEL, YDY or the YDY Shareholders may terminate this Agreement by notice in writing to the other parties to this Agreement and this Agreement shall be of no further force and effect.

• Each of the YDY Shareholders hereby appoints the Representative as its nominee for the purpose of receiving a Communication from NEL pursuant to this Agreement.

• The conditions precedent set forth above are for the exclusive benefit of YDY and the YDY Shareholders and may be waived by YDY and the YDY Shareholders in whole or in part on or before the Time of Closing.
