  • The Surviving Corporation shall pay all charges and expenses, including those of the Exchange Agent, in connection with the delivery to former WWPP Stockholders of the Merger Consideration.

  • The holders of shares of WWPP common stock must accept the AMHC common stock for investment purposes only, without a view toward further distribution thereof, and may only be transferred pursuant to an exemption from the registration thereof under applicable federal and state securities laws, including (without limitation) the provisions of SEC Rule 144(i).

  • The Merger will become effective at such time as the Articles of Merger has been duly filed with the Secretary of State of the State of Colorado or at such later date or time as may be agreed by WWPP and AMHC in writing and specified in the Articles of Merger in accordance with the CBCA (the effective time of the Merger being referred to herein as the “Effective Time”).
