  • Immediately after the Effective Time, as a result of the issuance of the Merger Share Consideration, the Merger Option Consideration, the ▇▇▇▇▇ Shares and the Wesser Shares, Proman, ▇▇▇▇▇ and ▇▇▇▇▇▇ will own, in the aggregate, 50% of the Fully Diluted Equity of PDN.
