  • The preambles are a part of this Agreement, which constitutes the entire agreement of the parties, and there are no other oral or written understandings or agreements between WCH and the FRANCHISEE relating to the subject matter of this Agreement.

  • In any action brought under this provision where WCH prevails against the FRANCHISEE, the FRANCHISEE will indemnify WCH for all costs that it incurs in any such proceedings including, without limitation, attorneys' fees actually incurred, expert witness fees, costs of investigation, court costs, travel and living expenses, and all other costs incurred by WCH.

  • WCH and the FRANCHISEE will not have the right to amend or modify this Agreement orally or verbally, and any attempt to do so will be void in all respects.
