  • Following completion of the Merger and in accordance with the applicable provisions of the WBCA and the Articles and Plan of Merger, Merger Sub shall be merged with and into Target (the "Merger"), the separate corporate existence of Merger Sub shall thereupon cease and the Target shall continue as the surviving corporation of the Merger.
