In the event that the BCA is terminated in accordance with its terms prior to the closing of the Target Transaction, this Letter Agreement shall be deemed null and void ad initio and of no force or effect, and the terms of the Underwriting Agreement shall continue to apply to the parties as if this Letter Agreement had never been executed and delivered by the parties.
