Vendor Facility definition

Vendor Facility means any agreements between the Company or any Restricted Subsidiary and one or more vendors or lessors of equipment or other capital assets (or their affiliated financial providers) to the Company or any Restricted Subsidiary for use by them in the Telecommunications Business providing financing to the Company or any Restricted Subsidiary for the lease or purchase of such equipment or other capital assets.
Vendor Facility and "Vendor Facilities" have the meaning assigned to such terms in Section 7.01(j).
Vendor Facility shall have the meaning assigned thereto in Section 2.1(e).

Examples of Vendor Facility in a sentence

  • Subject to the provisions of Clause 8.3.2 (c) above, the Buyer shall pay Maintenance Charge on the basis of the bills to be raised by the Vendor/ Facility Manager/Association (upon formation), such bills being conclusive proof of the liability of the Buyer in respect thereof.

  • The Buyer further admits and accepts that (1) the Buyer shall not claim any deduction or abatement in the bills relating to Maintenance Charge and (2) the Maintenance Charge shall be subject to variation from time to time, at the sole discretion of the Vendor/ Facility Manager/Association (upon formation).

  • No Lender shall have any right or obligation to participate in the Vendor Facility unless and until it commits to do so.

  • The interest rate, commitment fee rate, amortization schedule and maturity date for each Incremental Facility shall be as agreed upon between any Lenders agreeing to provide such Incremental Facility and the Borrowers; provided, however, that the Weighted Average Life to Maturity of such Incremental Facility shall in no event be shorter than the Weighted Average Life to Maturity of the other Credit Facilities on a combined basis (excluding the Vendor Facility and any other Incremental Facility).

  • Either of the Borrowers may also incur, after the Agreement Date, without the approval of the Majority Lenders, additional vendor-financed term loan Indebtedness for Money Borrowed (the "Vendor Facility") in an aggregate principal amount for both Borrowers not to exceed $1,000,000,000 (the loans thereunder, the "Vendor Loans").

  • As of the Commencement Date, any such property located at a Vendor Facility is listed on Schedule 10.4(b) (City Property at Vendor Facilities) is located and maintained at those Vendor Facilities designated on Schedule 10.4(b) (City Property at Vendor Facilities).

  • An Event of Default (other than a Covered Vendor Facility Default) shall occur under the Financing Agreements or the Security Documents or a Bridge Event of Default (other than a Covered Bridge Default) shall occur under the Bridge Financing Agreements or the Bridge Security Documents.

  • In the event that the nature or condition of the Goods stored creates a condition hazardous to the safekeeping and storage of other goods in the Vendor Facility or to any property or person, Vendor may forthwith remove such stored Goods from the Vendor Facility.

  • All such shares of a Consolidated Group Member owned by another Consolidated Group Member are owned beneficially, and of record, free of any Lien, except for Liens granted pursuant to the Credit Documents and Liens in respect of the Capital Stock of Vendor Facility Obligors.

  • The Vendor Facility may be issued in a single issuance or facility or in multiple issues or facilities with different vendors.

Related to Vendor Facility

  • Major facility means any facility or activity classified as such by the regional administrator in conjunction with the board.

  • Customer Facility means Generation Facilities or Merchant Transmission Facilities interconnected with or added to the Transmission System pursuant to an Interconnection Request under Subpart A of Tariff, Part IV.

  • LNG facility means a terminal which is used for the liquefaction of natural gas or the importation, offloading, and re-gasification of LNG, and includes ancillary services and temporary storage necessary for the re-gasification process and subsequent delivery to the transmission system, but does not include any part of LNG terminals used for storage;

  • Processing facility means an establishment that prepares, treats, or converts tangible personal property into finished goods or another form of tangible personal property. The term includes a business engaged in processing agricultural, aquacultural, or maricultural products and specifically includes meat, poultry, and any other variety of food processing operations. It does not include an establishment in which retail sales of tangible personal property are made to retail customers.

  • Repair facility means the person, firm or corporation per- forming the repair work or furnishing the materials for the repair work, or both, for tangible personal property other than a building, dwelling or structure.
