Vendor Facilities means the facilities owned, operated or controlled by Vendor or a third party retained by Vendor, including without limitation, the facilities at which Vendor’s System is housed or Information is stored, processed or transmitted by Vendor.

Vendor Facilities means any infrastructure of Vendor or its licensors used in connection with the provision of the Cloud Services, including, without limitation, software programs, hardware, data centers, networks, systems, websites, technology, or other facilities or resources provided or operated by, or on behalf of, Vendor or its licensors in connection with the provision of the Cloud Services.

• During the Term, Vendor shall provide the PBC with access to Vendor Facilities and to the Sites.

• At TXU's reasonable request, Vendor shall provide reasonable supervised access to Vendor Facilities by TXU or TXU Third Party Contractors to trouble-shoot and maintain third party software and equipment used to provide Services.

• TXUED shall be financially responsible for providing all Upgrades, replacements and additions to such office furniture or fixtures; provided that any material Upgrades, replacements and additions to such office furniture and fixtures at any Vendor Facilities must be approved in advance by Vendor and meet Vendor’s then current standards; and provided further that TXUED may, if commercially reasonable, purchase and use surplus Vendor furniture and fixtures to the extent available.

• The Services shall be provided at or from (i) the TXUED Facilities, (ii) the Vendor Facilities or (iii) any other service location requested by Vendor and approved by TXUED.

• As of the Commencement Date, any such property located at a Vendor Facility is listed on Schedule 10.4(b) (City Property at Vendor Facilities) is located and maintained at those Vendor Facilities designated on Schedule 10.4(b) (City Property at Vendor Facilities).

• Upon the occurrence of any Change in Control, the Borrower shall prepay the Loans hereunder and under the Vendor Facilities in full (and provide cover for LC Exposure as specified in clause (iv) of this Section 2.09), and the Commitments hereunder and under the Vendor Facilities shall be automatically terminated.

• The Borrower will cause the Vendor Financing Agreement to contain provisions with respect to the prepayment of Loans, and reduction of Commitments, under the Vendor Facilities identical to the provisions of this Section 2.09(b), with such changes in references as shall be appropriate in the circumstances.

• Vendor is responsible for the physical security of the Vendor Facilities; provided, that TXUED shall be responsible for the physical security and safety, physical access and control of the buildings or areas over which TXUED has exclusive control and TXUED shall not permit any person to have access to, or control of, any such area unless such access or control is permitted in accordance with control procedures approved by Vendor or any higher standard agreed to by TXUED and Vendor.

Vendor Facilities means the facilities owned or leased by Vendor and from which Vendor provides any Services. Vendor Facilities are listed on Schedule O.2 to the applicable Services Agreement, and include the portions of certain facilities owned or leased by TXUED as indicated on Schedule O.2 to the applicable Services Agreement.

Vendor Facilities means the credit facilities provided to Borrower under the QUALCOMM Credit Agreement and the Alcatel Credit Agreement.

Vendor Facilities have the meaning assigned to such terms in Section 7.01(j).

Vendor Facilities means the credit facilities provided to Cricket Communications under the Vendor Credit Agreements (as such facilities are in effect as of the Effective Date).
