Upwind Array Event definition

Upwind Array Event means the erection of an Upwind Turbine owned by Borrower or any Affiliate thereof that is not included in the Projects, which related Upwind Array could reasonably be expected to have a material adverse impact on the power output of any Project, as determined by the Independent Engineer (but in no event will a loss of power output of 2% of the power output of any Project or less be considered a material adverse impact).
Upwind Array Event means the erection of an Upwind Turbine, which related Upwind Array could reasonably be expected to decrease the energy production level at any Project by two percent (2%) or more, as determined by the Independent Engineer.
Upwind Array Event the erection of a wind turbine generator by the Sponsor or its Subsidiaries (other than the Borrower) that is not included in the Project and located within (a) the area within 40 rotor diameters from the center point of any Wind Turbine comprising a part of the Project in the sector located between 240 degrees and 330 degrees or (b) the area within radius of 10 rotor diameters from the center point of any Wind Turbine comprising a part of the Project in all other directions not described in clause (a) (clauses (a) and (b), collectively, an “Upwind Array”) in each case which Upwind Array could result in a Material Adverse Effect. For purposes of determining such areas, degree references shall be measured based on true north.

Examples of Upwind Array Event in a sentence

  • In the event that an Upwind Array Event shall occur, then within ninety (90) days of such event (such date the “Adjustment Date”), Borrower shall calculate and deliver to the Administrative Agent a Projected Debt Service Coverage Ratio as of such date using the applicable Base Case Project Projections updated with any changes needed solely to take into account the effect, if any, of such Upwind Array Event on the expected power production of any Project, as determined by the Independent Engineer.

  • Administrative Agent (in consultation with the Independent Engineer) shall notify Borrower in writing of any corrections, changes or adjustments relating solely to the Upwind Array Event to be made to such Projected Debt Service Coverage Ratios.

  • Upon any full or partial payment of the Upwind Array Event Amount, the Amortization Schedule shall be amended and revised to take into account the amount of such prepayment.

  • Permit the Sponsor and its Subsidiaries to cause an Upwind Array Event.

  • In the event that there occurs an Upwind Array Event and the Projected Debt Service Coverage Ratio, calculated as of each remaining Repayment Date, fails to demonstrate at least the Minimum Projected Debt Service Coverage Ratio for either production scenario, then Borrower shall make a mandatory prepayment in accordance with Section 2.8(c)(vi).

Related to Upwind Array Event

  • Step Up Event means a failure to meet the Minimum Rating Requirement at any time, unless:

  • ii) Event means any event described in Section 11(a)(ii) hereof.

  • ▇▇▇▇ Event means if there are any Mortgaged Properties at such time, any increase, extension or renewal of any of the Commitments or Loans (but excluding (i) any continuation or conversion of borrowings, (ii) the making of any Loan or (iii) the issuance, renewal or extension of Letters of Credit).

  • Delay Event means: (i) a tsunami, flood, cyclone, earthquake, bushfire or other act of nature; (ii) riot, civil commotion, war, invasion or a terrorist act; (iii) an imminent threat of an event in paragraphs (i) or (ii); or (iv) compliance with any lawful direction or order by a Government Agency; or (v) if clause 2.5 applies, the computer system operated by the ATO for the GST Withholding notifications referred to in clause 2.5(5)(c) is inoperative;

  • Book-Up Event means an event that triggers a positive adjustment to the Capital Accounts of the Partners pursuant to Section 5.5(d).
