Upstream Amounts definition

Upstream Amounts means, in respect of any period, the aggregate amount of all Onshore Distributions and Royalty Payments received in cash by Offshore Group Members from Onshore Group Members during such period (net of all withholding or similar Taxes on such Onshore Distributions and Royalty Payments (if any) payable by any member of the Group).

Related to Upstream Amounts

  • Downstream Affiliate means an entity whose outstanding Voting Shares were, at the date of issuance of the Qualifying Guarantee, more than 50 per cent. owned, directly or indirectly, by the Reference Entity.

  • Imbalances means over-production or under-production or over-delivery or under-delivery with respect to Hydrocarbons produced from the Properties, regardless of whether the same arise at the wellhead, pipeline, gathering system, transportation system, processing plant, or any other location, including any imbalances under gas balancing or similar agreements, production handling agreements, processing agreements, and/or gathering or transportation agreements.

  • Excluded Amounts means:

  • Imbalance Charges means any fees, penalties, costs or charges (in cash or in kind) assessed by a Transporter for failure to satisfy the Transporter's balance and/or nomination requirements.

  • Upstream means carrying a transmission to the Headend from remote points on the Cable System or from Interconnection points on the Cable System.
