Unimin definition

Unimin shall have the meaning set forth in the first sentence of this Agreement.

Examples of Unimin in a sentence

  • Unimin hereby agrees to redeem the Unimin Shares owned by Sibelco and, in consideration therefor, Sibelco hereby agrees to assign, transfer and convey the Unimin Shares to Unimin by duly executing and delivering to Unimin a stock power substantially in the form attached hereto as Exhibit A.

  • No later than five (5) Business Days after the end of each calendar month during the Term, the Company shall provide Baker Hughes with written notice setting forth the amount of the aggregate Cost Differential resulting from all BH Unimin Purchase Requirements in the prior month (the “Monthly Unimin True-Up Payment”), along with reasonable supporting documentation.

  • In the event that any Reimbursable Liquidated Damages are payable to Unimin as set forth in the Annual Unimin Certificate, Baker Hughes shall deliver, in immediately available funds, by wire transfer, an amount equal to such Reimbursable Liquidated Damages to a Company bank account based on the wiring instructions set forth in such notice no later than five (5) Business Days following delivery of the Annual Unimin Certificate.

  • An employee, who’s position is redundant and is offered and accepts significantly different employment within Unimin Australia Limited shall not, except as hereinafter provided, be entitled to the redundancy provisions of the parent award.

  • Unimin shall provide reasonable timely updates to HPQ Co of the adjusted Tax basis of assets and the allocation of Tax Attributes as Unimin finalizes Tax Returns for the Unimin Group and as adjustments, if any, are subsequently made to such Tax Returns.

  • No later than ten (10) Business Days following the end of each calendar quarter during the Term, the Company shall provide Baker Hughes with a certificate setting forth in reasonable detail its purchases during the year-to-date of all White Sand from Unimin, its purchases of all White Sand from all other providers, if any, and the calculation of any Shortfall Volume, if any, and the calculation of any Liquidated Damages.

  • Unimin shall be responsible for any and all Foreign Income Taxes due with respect to or required to be reported on any Unimin Foreign Combined Income Tax Return, except to the extent such Taxes are Pre-Distribution Period HPQ Business Taxes.

  • In the case of any Tax Contest with respect to any Unimin Group Return, Unimin shall have exclusive control over the Tax Contest, including exclusive authority with respect to any settlement of such Tax liability, subject to Sections 10.2(e), (f), (g), (h) and (i).

  • HPQ Co shall be responsible for any and all Foreign Income Taxes due with respect to or required to be reported on any (i) Unimin Separate Return to the extent such Taxes are Pre-Distribution Period HPQ Business Taxes and (ii) HPQ Co Separate Return.

  • All Tax Returns prepared by the Unimin Group and the HPQ Co Group shall be consistent with the adjusted Tax basis and any allocation or apportionment as determined pursuant to this Section 4.4.

  • €STRi-pTBD means, in respect of any TARGET Business Day falling in the relevant Interest Accrual Period, the €STR for the TARGET Business Day falling “p” TARGET Business Days prior to the relevant TARGET Business Day “i”;

  • LFL means the Local Finance Law of the State, as amended from time to time.

  • S&P means Standard & Poor’s Ratings Services, a division of The ▇▇▇▇▇▇-▇▇▇▇ Companies, Inc. and any successor thereto.

  • Harbour Master means the ABP Harbour Master or Dock Master for the Port (as appropriate) or their authorised representative;

  • Panchayat means an institution (by whatever name called) of self-government constituted under article 243B, for the rural areas;
